These Terms of Service Use describes how MartaRide and its affiliates/Subsidiaries constitute a legally binding agreement between you, individual, from within Nigeria and any country in Africa and also MartaRide, Representatives, officers as well as directors (as a whole, “MartaRide,” “we,” “us” or “our”) of individuals who apply or are considered for a position with MartaRide (“Candidates”) governing your use of the MartaRide application (the “MartaRide App”), MartaRide platform, content, products, websites and services. (the “Services”) made available by MartaRide, a private company limited by shares.

PLEASE REVIEW THESE TERMS AND CONDITIONS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING MartaRide SERVICES.

By coming into Agreement with MartaRide, and/or by using or accessing the MartaRide Platform you clearly acknowledge that you understand this Agreement and accept all of its terms and conditions, which establishes a contractual relationship between you and MartaRide. If for any reason you do not agree to the terms and conditions of this agreement, you may decide not to use or access the MartaRide platform or any of the services provided through the MartaRide platform. MartaRide may immediately terminate these terms and any services with you, or generally cease offering or deny access to the services at any time. These terms clearly supersede prior agreements or arrangements with you. If you use the Platform in Nigeria or in any Africa country, you accept to be subject to MartaRide’s terms of service for that country.

When using the MartaRide Platform, you are also subject to the conduct in accordance with the community guidelines which shall form part of this Agreement between you and MartaRide.

Supplemental terms might apply to specific services, such as promotion events, strategies for a specific occasion, action for advancement, and such supplemental terms will be revealed to you. These terms shall be deemed as part of, the Terms for the purposes of the applicable Services.

MartaRide might amend the Terms identified with the Services occasionally. Amendment will be effective upon MartaRide’s posting of updated Terms. Having access to the use of the Services after re-posting constitutes your consent to be bounded by the Terms, as amended.

By entering into this Agreement with MartaRide or by using the MartaRide platform, you consent to get interchanges correspondences from MartaRide at any time through phone, via email, text messages, calls, and push notifications. These messages may be produced by automatic telephone dialing frameworks.

YOU ARE FREE TO OPT OUT ANY PROMOTIONAL EMAILS, AT ANY TIME. REMEMBER OPTING OUT MAY IMPACT YOUR USE OF MartaRide PLATFORM OR OTHER RELATED SERVICES.

1. THE MartaRide PLATFORM

MartaRide Services and Platform constitute a marketplace, that enables users who seek transportation services for daily commutes (“Riders”) to be able to schedule transportation to certain destinations with just an app! Riders is to request a ride from (“drivers”) who are heading to or through those destinations.

The Services are made accessible exclusively for your own, noncommercial use. Drivers and Riders are referred to as “Users,” and the services provided by drivers to riders are considered to be “Rideshare Services”. As a User, you have given an approval to MartaRide to coordinate you with Drivers or Riders dependent on different variables. Any decision by a User to acknowledge or accept Rideshare Services is a choice made in such User’s sole discretion.

YOU CLEARLY ACKNOWLDEGE THAT ALL TRANSPORTATION OR LOGISTICS SERVICES SUCH AS TRASNPORTATION CARRIER ARE PROVIDED BY INDEPENDENT CONTRACTORS AND INDEPENDENT THIRD PARTY WHO ARE NOT EMPLOYEES OF MartaRide OR ANY OF ITS AFFILIATES.

MartaRide have the right to change information on pages, the terms and conditions of this agreement at any time and the updates and changes shall be legally binding on you only when agreed upon and when posted. the modified agreement does not create a re-established new opportunity to go out of arbitration if needed.

2. ELIGIBILITY

This is only for individuals who have the right and authorization to use MartaRide platform and eligible to use the terms, conditions, and services herein. The Services is not accessible to Users who have had their User account briefly or permanently deactivated. You are agreeing that you are the owner and authorized user of the account. Each person is solely responsible for one User account, and MartaRide reserves the right to deactivate a duplicate account or any extra accounts. Your participation in certain activities, events and promotion programs may be subject to additional requirements determined by MartaRide.

By using this platform, you represent and warrant that you are at least 18 years old. You are responsible for any and all liability using the platform. You acknowledge that you are fully authorized to execute and used MartaRide platform.

Attempt to gain access without authorization is considered to be a criminal offense.

You must register and maintain an active user services account in order to use MartaRide platform. Registration requires you to submit certain information to MartaRide, such as name, address, phone number, age, and a valid payment method or ID. You may be asked to provide proof of identity to be able to use MartaRide services. Refusal to provide the above mention, may result to gaining access or use of the Services. Every User is subject to maintain complete and accurate information that is up to date. Failure to maintain up to date and accurate information, may result to user not gaining access and use the Services or termination of these Terms with the User. All activities occurring under your account is solely your responsibility. Don’t give out your account’s username and password at any time out. Only when it is permitted by MartaRide. Again, you are only permitted to have just one account status.

All applicable law by the communities or countries shall be maintain in good standing. You clearly accept to comply with all applicable laws when using the platform and services.

These services may only be used for a lawful purpose. You will not use the services, to cause harm, annoyance, or any damage, whether to any other party.

By making an Account, you agree that MartaRide Services should be able to send you messages (SMS) messages at any time. Accepting to quit getting text messages might affect the use of the services.

MartaRide has the right to withhold to deduct credits and other benefits obtained through the use of promotional codes by you. Payment codes shall not be duplicates, sold or transferred in any way or made available to the public and may expire to your used at any time.

You are responsible for obtaining the network access to be able to use the Services. You are responsible for rates and fees apply when accessing the Services from a wireless network device.

3. PAYMENT

As a Rider, you understand that solicitation or utilization of Rideshare Services may result in charges to you. Through your use of services and goods obtain through MartaRide Platform, MartaRide will facilitate your payment when necessary. Charges for Rideshare Services will include fares, taxes, surcharges, service fee, cancellation fee, damage fee, tips, third party charges, No refunds, credit card authorization if need be and other applicable fees. MartaRide has the right to determine and make changes to pricing at based on the type of services you requested. You are responsible for reviewing the applicable updates on pricing posted and within the MartaRide app, and you will liable for all charges incurred under your User account in any case, whether you are aware of the amounts or charges.

If you are a Driver, you will receive payment for your Rideshare Services you perform to Riders which you are entitled to as a Driver.

4. LOST PROPERTY

You are responsible for your property from the vehicle of a third-party provider when leaving the vehicle. MartaRide entity will not be held obligated in the event of the Third-party Provider not giving over your property in a timely manner. If your property is in our possession MartaRide will only keep it for a maximum period of one months from the date on which the Third-Party Provider handed your property to MartaRide.

MartaRide shall not be liable for consequential damages, lost profits, data, injury or damage related to any damages, liability or losses arising out of your use of the services or any relationship between you and any third-party provider, even if we are aware of the possibility of such damages.

You are only using MartaRide services to request and schedule transportation, goods or logistics services with third party providers. You have agreed that MartaRide is not responsible or liable to you relating to any transportation or rideshare provided to you by third party providers.

5. YOUR INFROMATION

To enable MartaRide to use your information for the purposes of creating an account or send to others user via in application feedback, any email feature, or social media posting, you agree to provide and maintain accurate, current and complete information.

You agree to give and keep accurate, current and complete information that we and the general public can rely on. MartaRide believes your information is accurate, up to date, and complete.

By providing and maintaining accurate, current and complete information, you agree that MartaRide and other members of the public may rely on your information.

By granting us the right and license to use, copy, perform, display and transmit your information, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, sub-licensable (through multiple tiers) right and license.

You are responsible for your information and your interactions with other members.

6. PROMOTIONS, LOYALTY PROGRAMS AND REFERRALS

MartaRide reserves the right, at its sole discretion, to provide promotions, referral programs, and loyalty programs for any User or prospective User. These promotions and programs, unless made available to you, have no bearing on your Agreement or relationship with MartaRide.

MartaRide promotional codes may be redeemed for account credit, or other features or benefits related to the Services or the services of a Third-party Provider.

In the event that MartaRide determines or believes that the redemption of the promotion or receipt of the benefit or credit was fraudulent, illegal, or in violation of the program, MartaRide reserves the right to withhold or deduct those benefits or credits.

MartaRide referral program provides you with incentives to refer your friends and family to become new Users of the MartaRide Platform. MartaRide reserves the right to discontinue, or cancel any promotions or programs at any time for any reason without liability to you.

7. DISCLAIMERS

Our disclaimers are made on behalf of all our affiliates, subsidiaries, parents, successors and assigns, and our respective officers, directors, employees, agents, and shareholders.

MartaRide is not a common carrier or public carrier. Riders are given the choice of accepting or refusing rides from any Driver contacted through the MartaRide Platform. Drivers can determine whether or not to offer a ride to a Rider contacted through the MartaRide Platform.

Due to the nature of the Rideshare Services, we do not have overall control over the quality or safety of the transportation provided by Drivers to Riders.

MartaRide Platform does not provide any express, implied or statutory warranties of any kind. There are no guarantees and no promises associated with the use of the MartaRide Platform and/ or Rideshare Services, including the ability to provide or receive Rideshare Services at any given time or location.

Based on commercial viability, public health concerns, or changes in law, MartaRide may restrict or eliminate access to the MartaRide platform for Rideshare Services in specific geographic areas or at specific times.

The MartaRide Platform and Rideshare Services do not warrant that they will be accurate, complete, reliable, current, secure, uninterrupted, free of errors, always available or that it will meet your requirements completely or that the platform will be free of harmful elements. In terms of accessibility and availability of the Platform, we disclaim all responsibility and make no warranties.

Riders or Drivers cannot be guaranteed to be who they say they are. Whenever you are using the MartaRide Platform and Rideshare Services, please check the photo of the Driver or rider you have matched with to ensure that they are the same person.

Please engage in direct communication with any potential Driver or rider directly.

The company disclaims all express and implied warranties and represnetations, including those with respect to merchantability, fitness for a particular purpose, and non-infringement.

LIMITATION OF LIABILITY

MartaRide’S services may be used by you to request and schedule transportation, goods or logistics services with third party providers, but you have accepted and agree that MartaRide has no responsibility or liability to you related to any transportation, logistics services provided to you by third party providers other than as expressly set forth in these terms. This does not alter your rights as a consumer that can not be excluded under applicable law.

MartaRide shall not be liable for any inability to access or use the platform or services, or any transaction between you and any third-party provider, even if MartaRide suggested of the opportunity of such damages.

You have accepted that MartaRide has no responsibility, liability to you using any transportation, logistic services provided to you even when it is used by you to request and schedule transportation with a third party.
